The terms that govern your use of Shipyard.
These Terms of Service (the “Terms”) are an agreement between you and JudeWorks LLC, a California limited liability company doing business as Shipyard (“Shipyard,” “we,” “us,” or “our”). They govern your access to and use of the Shipyard websites, applications, APIs, software development kit, hosted pages, and related services (collectively, the “Service”).
By creating an account, starting a paid subscription, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
You must be at least 18 years old and able to form a binding contract. The Service is primarily offered for business and professional use by developers, studios, and other organizations.
You are responsible for accurate account information, safeguarding credentials and API keys, limiting access to authorized users, and activity under your account. Notify us promptly at support@startshipyard.com if you believe your account has been compromised.
Shipyard provides tools for managing and publishing product sites, changelogs, roadmaps, feature requests, analytics, app information, and related content. Features, limits, integrations, and availability can vary by plan and may change as the Service evolves.
You remain responsible for your products, business decisions, published content, App Store submissions, customer communications, and compliance obligations. Shipyard does not guarantee App Store approval, search placement, traffic, revenue, or any particular business result.
Paid plans are billed in advance on a recurring monthly basis unless checkout states otherwise. Your subscription automatically renews at the then-current price until canceled. Prices, plan limits, currency, and any applicable taxes are shown before purchase. You authorize Shipyard and its payment processor, Stripe, to charge your selected payment method for recurring fees, taxes, and other amounts you approve.
We may change plan pricing or included features with reasonable advance notice. A price change applies no earlier than your next renewal after the notice period described in that notice.
You are responsible for taxes imposed on your purchase, except taxes based on our net income. We may collect billing addresses and tax identifiers and apply tax where required.
You may cancel a paid subscription at any time through the Stripe Customer Portal available from your Shipyard billing page or by contacting support. Unless we state otherwise, cancellation takes effect at the end of the current paid billing period, and you retain paid access until then.
Subscription charges are non-refundable and we do not provide prorated credits for unused time, except where required by law or where we expressly agree otherwise. If we discontinue the paid Service without providing a reasonable replacement, we may provide a prorated refund for the unused prepaid period.
After paid access ends, your workspace may move to the Free plan and features or capacity above Free-plan limits may become unavailable. You remain responsible for exporting content you want to retain.
You retain ownership of content and data you submit to the Service (“Customer Content”). You grant us a non-exclusive, worldwide license to host, copy, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, support, and improve the Service and to operate public pages or integrations you enable.
You represent that you have the rights and permissions necessary for Customer Content and any accounts, feeds, analytics, or third-party services you connect. You control what you publish and are responsible for reviewing public content before publication.
You may not use the Service to break the law; infringe intellectual-property, privacy, publicity, or other rights; distribute malware or harmful code; send spam or facilitate abuse; scrape, probe, overload, or disrupt the Service; bypass access or usage limits; gain unauthorized access; misrepresent identity or affiliation; or use the Service to create or distribute unlawful, deceptive, harassing, hateful, or exploitative content.
You may not reverse engineer or copy non-public portions of the Service except where applicable law expressly permits it. We may investigate violations and suspend or remove access when reasonably necessary to protect users, third parties, or the Service.
The Service may connect with services such as Stripe, Apple, Cloudflare, Clerk, analytics providers, feeds, and developer platforms. Your use of a third-party service is governed by that provider’s terms and privacy practices. We are not responsible for third-party services, their availability, or changes they make.
Shipyard and its licensors retain all rights in the Service, including its software, design, branding, documentation, and other materials, excluding Customer Content. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your account term.
If you provide suggestions or feedback, you permit us to use it without restriction or compensation, and without identifying you as the source unless you agree.
Our Privacy Policy explains how we handle personal information. We use reasonable administrative, technical, and organizational safeguards, but no online service can guarantee absolute security. You are responsible for configuring workspace permissions, publication settings, and connected accounts appropriately.
We aim to keep the Service reliable but do not guarantee uninterrupted or error-free operation. Maintenance, security events, provider outages, legal requirements, or product changes may affect availability. We may modify or discontinue features and will provide reasonable notice when a change materially reduces a paid plan’s core functionality, when practicable.
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Shipyard disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet every requirement, be uninterrupted or error-free, or prevent every loss or security incident. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from these Terms or the Service, even if advised that such damages are possible.
To the maximum extent permitted by law, Shipyard’s total liability arising from these Terms or the Service will not exceed the greater of (a) the amount you paid Shipyard during the 12 months before the event giving rise to the claim or (b) US $100. These limitations do not apply to liability that cannot lawfully be limited.
If you use the Service for business purposes, you will defend and indemnify Shipyard and its personnel against third-party claims, damages, and reasonable costs arising from your Customer Content, your products, your violation of these Terms, or your infringement of another party’s rights, except to the extent caused by Shipyard’s own breach or misconduct.
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, create security or legal risk, or use the Service in a way that could harm Shipyard or others. When practical, we will give notice and an opportunity to cure.
Terms that by their nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, indemnification, and dispute terms—will continue to apply.
California law governs these Terms, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in San Diego County, California, and each party consents to their jurisdiction and venue. Before filing a claim, please contact support@startshipyard.com so we can try to resolve it.
You may not assign these Terms without our consent, except as part of a merger, acquisition, corporate reorganization, or sale of substantially all assets. We may assign them in connection with those events. These Terms, together with policies and order details they reference, are the entire agreement about the Service. If one provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver.
We may update these Terms. If a change materially affects your rights or obligations, we will provide reasonable advance notice through the Service or by email. Continued use after the effective date of updated Terms constitutes acceptance.
